Terms of Service

Effective date: February 13, 2026.

1. Agreement

These Terms of Service ("Terms") are an agreement between you and Skillmix, Inc. ("Skillmix," "we," "us") and govern your access to and use of the Kanbai platform, website, and related services (the "Service"). By accessing or using the Service, you agree to these Terms.

If you use the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

2. Eligibility

You must be at least 18 years old and of legal age to form a binding contract where you live. If you do not meet these requirements, you may not use the Service.

3. Accounts and Security

You are responsible for your account, your credentials, and any activity that occurs under your account. You must keep your credentials secure and promptly notify us of any unauthorized access.

4. Acceptable Use

You may not use the Service to:

  • violate any law, regulation, or court order;
  • infringe or misappropriate intellectual property or privacy rights;
  • access, probe, or disrupt the Service or other systems;
  • transmit malware or malicious code;
  • engage in abusive, fraudulent, or deceptive conduct.

We may suspend or terminate access if we reasonably believe you are violating these Terms.

5. Customer Content and Ownership

You own your workspace content, code, and outputs ("Customer Content"). We do not claim ownership of Customer Content. You grant us a limited, non-exclusive license to host, process, transmit, and display Customer Content solely to provide and improve the Service.

You are solely responsible for your Customer Content, how you use your workspaces, and any results you produce. You represent that you have the rights to upload and use your Customer Content.

6. Backups and Data Loss

You are responsible for maintaining backups of your Customer Content. While we take reasonable measures to protect the Service, we do not guarantee that Customer Content will be free from loss, corruption, or unauthorized access. To the maximum extent permitted by law, Skillmix is not responsible for any data loss or security issues resulting from how you use your workspaces.

7. Third-Party Services

The Service integrates with or uses third-party services such as AWS, OpenAI, Google authentication, and Stripe. Your use of those services may be subject to their terms. We are not responsible for third-party services.

8. Fees and Payment

If you purchase a paid plan, you agree to pay the fees and taxes presented to you. We use Stripe to process payments and do not store your full credit card details. Fees are non-refundable except as required by law or expressly stated otherwise.

9. Termination

You may stop using the Service at any time. We may suspend or terminate your access for violation of these Terms or to protect the Service, users, or the public. Upon termination, your right to use the Service ends.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKILLMIX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKILLMIX WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, REVENUE, OR GOODWILL. SKILLMIX'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO SKILLMIX IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR USD $100 IF YOU HAVE NOT PAID SKILLMIX.

12. Indemnification

You agree to indemnify and hold Skillmix harmless from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your Customer Content, or your violation of these Terms.

13. Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. It affects your rights. You agree that any dispute or claim arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration will take place in Delaware, USA, unless we both agree to conduct it remotely. You and Skillmix waive any right to a jury trial.

You may bring claims in small claims court if your claims qualify. You agree that any dispute will be brought on an individual basis only and not as a class, collective, or representative action.

You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing [email protected] with your name and account email.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of laws principles.

15. Changes

We may update these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms on this page. Your continued use of the Service after the effective date of the updated Terms constitutes acceptance.
